Agreement to Terms

By accessing or using TruAddress services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these Terms, you may not use our Services.

Description of Services

TruAddress provides address validation, geocoding, and related data services through APIs and web interfaces. Our Services include:

• US and International Address Verification
• Address Autocomplete
• Geocoding and Reverse Geocoding
• Property Data Enrichment

Account Registration

To use our Services, you must:

• Create an account with accurate information
• Be at least 18 years old
• Have authority to bind your organization (if applicable)
• Keep your API keys secure and confidential

You are responsible for all activity under your account, including any use of your API keys.

Acceptable Use

You agree not to:

• Use our Services for illegal purposes
• Attempt to circumvent rate limits or access controls
• Reverse engineer or attempt to extract our source code
• Resell our Services without authorization
• Submit malicious data or attempt to exploit our systems
• Use our Services to harass, spam, or harm others

API Usage

Rate Limits

All plans have rate limits. Exceeding rate limits may result in temporary blocking or account suspension.

Fair Use

Unlimited plans are subject to fair use policies. Sustained usage significantly exceeding typical patterns may require an Enterprise plan.

API Changes

We may update our APIs from time to time. We will provide reasonable notice for breaking changes and maintain deprecated endpoints for a transition period.

Pricing and Payment

Billing

• Paid plans are billed monthly or annually in advance
• Usage-based charges are billed in arrears
• All fees are non-refundable except as required by law

Price Changes

We may change our prices with 30 days notice. Price changes will take effect at your next billing cycle.

Taxes

Prices exclude applicable taxes. You are responsible for all taxes associated with your use of our Services.

Intellectual Property

Our IP

TruAddress and its licensors retain all rights to the Services, including all software, data, and documentation. You receive only a limited license to use the Services as described in these Terms.

Your Data

You retain ownership of data you submit to our Services. You grant us a limited license to process your data to provide the Services.

Data and Privacy

Our collection and use of data is governed by our Privacy Policy. By using our Services, you agree to our data practices as described in that policy.

Service Availability

Uptime

We target 99.99% uptime for our APIs. Actual uptime commitments depend on your plan level.

Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.

No Warranty

Services are provided "as is" without warranty of any kind. We do not guarantee that Services will be error-free or uninterrupted.

Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to fees paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for loss of data, profits, or business opportunities

Indemnification

You agree to indemnify TruAddress against claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights

Term and Termination

Term

These Terms are effective until terminated by either party.

Termination by You

You may close your account at any time. No refunds will be provided for prepaid amounts.

Termination by Us

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment
• Extended inactivity (with notice)

Effect of Termination

Upon termination, your right to use the Services ends. We may delete your data after a reasonable retention period.

General Provisions

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Disputes

Any disputes will be resolved through binding arbitration in San Francisco, CA, except for injunctive relief.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TruAddress.

Modifications

We may modify these Terms with notice. Continued use after modifications constitutes acceptance.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

Assignment

You may not assign these Terms. We may assign our rights and obligations without restriction.
